Terms of Use

Effective date: October 2, 2026

These Terms of Use ("Terms") govern your access to and use of opportuna.cloud, including its password-protected staging subdomain, operated by Opportuna Digital, LLC, a Florida limited liability company doing business as Opportuna Cloud ("Opportuna," "we," "us," or "our").

By accessing or using the website, you agree to these Terms. If you do not agree, do not use the website.

Informational Website Only

The website provides general information about Opportuna and its services. Website content is not medical, legal, tax, accounting, investment, insurance, or other professional advice. Do not rely on website content as a substitute for advice from qualified professionals.

No Client Relationship

Using the website, submitting a scheduling request, communicating with Opportuna, downloading materials, or participating in an introductory conversation does not create a client relationship. A client relationship exists only when Opportuna and the client execute a written agreement.

Do Not Submit PHI or Sensitive Information

Do not submit Protected Health Information, patient records, patient messages, appointment information, referral information, billing information, Social Security numbers, full payment-card information, bank account credentials, client nonpublic personal information, trading instructions, passwords, private keys, government-issued identification numbers, or other sensitive information through public website forms, the Cal.com scheduling tool, ordinary email links, chat widgets, or other public channels.

For healthcare inquiries, do not include patient-specific information. For financial-services inquiries, do not include customer or client nonpublic personal information, account numbers, or trading instructions.

If a secure method is appropriate, Opportuna will provide it after confirming the relevant agreement, access method, and data-protection requirements.

Permitted Use

You may use the website for lawful personal and business-information purposes. You may not:

  • Use the website unlawfully or in violation of another person’s rights
  • Attempt to gain unauthorized access to systems, accounts, data, or networks
  • Interfere with website operation, availability, or security
  • Submit malicious code, spam, deceptive content, or materials that infringe another person’s rights
  • Misrepresent your identity, affiliation, authority, or purpose
  • Use website content to develop, train, or improve a competing product or service without our prior written permission

Automated Access and Agents

Search engines, AI assistants, and automated agents may access, read, and index publicly available portions of the website for search, discovery, summarization, citation, and similar informational purposes, subject to our published robots.txt instructions, applicable law, and these Terms.

You may not use automated means to access the website in a manner that:

  • Circumvents access controls, rate limits, robots.txt instructions, security measures, or technical restrictions;
  • Disrupts, degrades, probes, overloads, or interferes with the website or related systems;
  • Extracts, republishes, or creates a competing database or service from website content at scale;
  • Collects personal information, contact information, or other data for unsolicited marketing, profiling, spam, or unlawful purposes;
  • Submits forms, invokes tools, or initiates requests without the authority of the person or entity on whose behalf you act;
  • Attempts to access non-public systems, accounts, data, prompts, source code, credentials, or configuration information; or
  • Uses website content to train, fine-tune, or improve a competing model, product, or service without our prior written permission.

We may limit, suspend, or block automated access that violates these Terms, our robots.txt instructions, applicable law, or the security and availability of the website.

Intellectual Property

The website, its content, branding, designs, text, graphics, software, workflows, documentation, and other materials are owned by Opportuna or its licensors and are protected by applicable law.

You may view and use website materials for personal or internal business-information purposes only. You may not copy, modify, reproduce, distribute, display, publish, create derivative works from, sell, license, or exploit website materials without our prior written permission, except as permitted by applicable law.

“Opportuna,” “Opportuna Cloud,” and related names, logos, and marks are the property of Opportuna Digital, LLC or its licensors. Nothing in these Terms grants a license to use any mark.

The website may include third-party links, integrations, embedded tools, or services, including Cal.com for scheduling. We do not control and are not responsible for third-party content, products, services, availability, terms, or privacy practices.

Feedback

If you provide suggestions, ideas, feedback, or recommendations about the website or services, you grant Opportuna a nonexclusive, worldwide, perpetual, irrevocable, royalty-free right to use, reproduce, modify, and incorporate that feedback without obligation to you, provided we do not identify you publicly without your consent.

Disclaimers

THE WEBSITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPPORTUNA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, AND UNINTERRUPTED OR ERROR-FREE OPERATION.

WE DO NOT WARRANT THAT WEBSITE CONTENT IS COMPLETE, CURRENT, ERROR-FREE, OR SUITABLE FOR YOUR PURPOSE. ANY RELIANCE ON WEBSITE CONTENT IS AT YOUR OWN RISK.

Delivery Timing

References on the website to a first agent being live in one week describe a target implementation timeline, not a guaranteed delivery date or service-level commitment.

Whether an initial agent can be live within the first week depends on timely access to the relevant systems, client decisions and approvals, the readiness and complexity of the initial workflow, third-party service availability, and other implementation dependencies. Actual timelines may vary.

Any delivery commitment, implementation scope, acceptance criteria, or service-level obligation is governed only by an executed written agreement or statement of work signed by Opportuna Digital, LLC and the applicable client.

Supported Actions

“Supported Action” means an action that Opportuna identifies in applicable documentation, the Service, or an Order Form as subject to the Service’s approval workflow. Supported Actions may vary by plan, integration, configuration, and feature availability.

Billing and Free Tier

A monthly billing period begins on the date of the first paid charge and begins again on each monthly anniversary of that date. If a month does not include that date, the billing period begins on the last day of that month.

Billing dates are determined in Eastern Time unless the applicable Order Form states otherwise.

Free-tier customers may stop using the Service or request deletion of their account at any time without charge. Unsubscribing from marketing emails is separate from deleting an account.

Account deletion is handled under the Privacy Policy and any applicable retention and deletion terms.

Termination for Convenience; Suspension

Termination for Convenience. Customer may cancel its subscription or terminate these Terms for convenience at any time. Unless an applicable Order Form states otherwise, cancellation will take effect at the end of Customer’s then-current monthly billing period. Customer will retain access to the Service through that effective date, subject to these Terms.

Cancellation Method. Until Opportuna makes self-service cancellation available in the Service, Customer may cancel its monthly subscription by sending written notice to admin [at] opportuna [dot] cloud from an Authorized Requester associated with Customer’s account. The notice must identify Customer’s account and clearly request cancellation.

Fees; No Early-Termination Fee. Customer remains responsible for all fees incurred through the effective date of cancellation. Except as expressly stated in these Terms or required by applicable law, all fees paid are nonrefundable, and Opportuna will not provide credits or refunds for unused time, unused capacity, partial billing periods, or unused Services. Customer will not be charged an early-termination fee, remaining-term fee, or acceleration fee solely because Customer cancels under this section.

Opportuna Suspension Rights. Opportuna may suspend or restrict Customer’s or an Authorized User’s access to all or part of the Service only to the extent reasonably necessary to: (a) address a security incident, suspected unauthorized access, or material vulnerability; (b) prevent fraud, abuse, unlawful activity, or a violation of these Terms, the Acceptable Use Policy, or applicable law; (c) protect the Service, Opportuna, Customer, another customer, or a third party from material harm; (d) respond to a valid legal requirement or governmental request; or (e) address Customer’s material nonpayment after notice and a reasonable opportunity to cure, where practicable.

Notice and Restoration. Where reasonably practicable, Opportuna will provide Customer notice of a suspension, the reason for it, and the steps required for restoration. Opportuna will limit a suspension in scope and duration to what is reasonably necessary and will restore access when the underlying issue is resolved or adequately mitigated. Opportuna may suspend without prior notice where prior notice would create or increase a security, legal, fraud, or material-harm risk.

Effect of Termination; Export Period. Upon expiration or termination, Customer’s rights to access and use the Service end, subject to the post-termination export period. For thirty (30) days after the effective date of termination, Opportuna will make Customer’s available Client Content and Client Deliverables available for export in accordance with the Terms, applicable Order Form, and then-current documentation. After that period, Opportuna may delete or de-identify Customer content in accordance with its retention and deletion practices, except for information it must retain for legal, security, billing, audit, dispute-resolution, or legitimate business-recordkeeping purposes.

Client Hub; Deliverables; Portability

Client Hub. Opportuna may provide Customer with a private client hub hosted in an Opportuna-controlled Notion workspace or another workspace selected by Opportuna. The Client Hub is a managed operational environment that may include automated meeting records, summaries, transcript and recording links, skills, SOPs, context files, configuration files, workflow records, task records, decision records, next steps, and other customer-specific operational information.

Ownership of Client Content and Client Deliverables. As between the parties, Customer owns: (a) Customer Data; (b) content Customer provides to the Client Hub; and (c) customer-specific skills, playbooks, standard operating procedures, context files, configuration files, workflow documentation, and other materials that Opportuna creates specifically for Customer and delivers to the Client Hub or otherwise identifies in an applicable Order Form as “Client Deliverables.” Subject to Customer’s payment of applicable fees, Opportuna hereby assigns to Customer all right, title, and interest that Opportuna may have in the Client Deliverables, excluding Opportuna Materials and Third-Party Materials.

Managed Environment and Opportuna Materials. Opportuna retains all right, title, and interest in and to the Client Hub environment, including its workspace, hub templates, page and database structure, schemas, relations, automation logic, integrations, software, agent configurations of general applicability, processes, requirements-capture approach, the Opportuna Method, internal operational procedures, security controls, analytics, and general know-how, together with any improvements or derivative works of the foregoing (collectively, “Opportuna Materials”).

License to Embedded Materials. To the extent Opportuna Materials are incorporated into or reasonably necessary to use a Client Deliverable, Opportuna grants Customer a perpetual, irrevocable, worldwide, nonexclusive, royalty-free, fully paid-up license to use, reproduce, modify, adapt, maintain, and internally share those embedded Opportuna Materials solely as part of, and as reasonably necessary to use, maintain, modify, or obtain the benefit of the Client Deliverable for Customer’s internal business purposes. This license survives expiration or termination of the Agreement.

Content Portability and Export. During the Services Term, Customer may request a copy or export of its available Client Content and Client Deliverables. Following expiration or termination, Opportuna will make available an export of Customer’s available Client Content and Client Deliverables in the format, scope, and time period stated in the applicable Order Form, Data Processing Addendum, or then-current documentation. Exports may exclude Opportuna Materials, Third-Party Materials, security-sensitive information, credentials, internal notes, cross-customer data, system metadata not specific to Customer, and information Opportuna must retain for legal, security, billing, or audit purposes.

No Transfer of Managed Hub. Customer’s ownership of Client Content and Client Deliverables does not transfer ownership of the Opportuna-controlled workspace, the Client Hub environment, or Opportuna Materials. Opportuna is not required to transfer its Notion workspace, automations, integrations, internal database structure, or administrative accounts to Customer.

Third-Party Services. The Client Hub may contain links to, depend on, or interoperate with third-party services, including Notion, video-conferencing services, AI platforms, storage providers, and integration tools. Customer’s access to and use of Third-Party Services is governed by the applicable third-party terms, policies, availability, pricing, licensing conditions, and usage limits. Opportuna does not transfer ownership of or grant rights in Third-Party Services or Third-Party Materials.

Support Policy

Support Policy. Support services, including support channels, eligibility, response targets, and #breakglass procedures, are governed by the Support Policy at https://opportuna.cloud/support/, which is incorporated into these Terms by reference. Support targets are operational goals only. They are not service-level commitments, uptime guarantees, or guarantees of resolution, and they do not create service credits, refunds, penalties, or other remedies.

For purposes of these Terms and the Support Policy, “US federal holidays” means the observed federal holidays published by the U.S. Office of Personnel Management for the applicable calendar year.

Working Sessions

Working Sessions. A “Working Session” is a scheduled live session of up to forty-five (45) minutes during which Opportuna and Customer apply the Opportuna Method to Customer’s business. A Working Session may include identifying or prioritizing a business job; creating a new skill; improving, refactoring, or reviewing an existing skill; re-engineering a business process; capturing requirements; reviewing results; evaluating agent activity; planning next steps; or related advisory and implementation work.

Included Sessions. Unless an applicable Order Form states otherwise:

  • The Operator plan includes up to two (2) Working Sessions during each monthly billing period.
  • The Managed Team plan includes up to one (1) Working Session during each Monday-through-Friday week, excluding United States federal holidays.

A Managed Team Working Session is not transferable to another week and does not accumulate.

Scheduling and Rescheduling. Working Sessions must be scheduled through Opportuna’s designated scheduling process. Customer may reschedule a Working Session by giving at least twenty-four (24) hours’ prior notice. Opportuna may reschedule a Working Session on reasonable notice due to a scheduling conflict, illness, operational need, or circumstances outside its reasonable control.

Missed and Unused Sessions. Included Working Sessions not used during the applicable billing period or week do not roll over, accumulate, convert to credit, or entitle Customer to a refund. A Working Session missed or canceled by Customer with fewer than twenty-four (24) hours’ notice may be treated as used, except where Opportuna agrees otherwise in writing.

Scope. Working Sessions are limited to the time included in Customer’s plan and do not guarantee completion of a particular skill, integration, workflow, outcome, or business result. Additional work may be available through separately purchased Add-Ons or an applicable Order Form.

Quarterly Business Review

Quarterly Business Review. A “Quarterly Business Review” or “QBR” is a scheduled business-review session in which Opportuna and Customer review applicable agent activity, operational results, usage, priorities, opportunities for improvement, and recommended next steps. A QBR may include planning but does not guarantee a particular outcome, deliverable, implementation, or business result.

Plan Availability. Managed Team includes one QBR per calendar quarter, subject to scheduling availability. Operator may purchase a QBR as an Add-On. Unused QBRs do not roll over, accumulate, convert to credit, or entitle Customer to a refund unless the applicable Add-On Terms expressly provide otherwise.

The calendar quarters are January to March, April to June, July to September, and October to December.

Add-Ons

Add-Ons. Customer may purchase optional services, features, implementation work, training, professional services, or other offerings made available by Opportuna from time to time, including additional Working Sessions, skill sprints, process re-engineering workshops, skill health checks, and team training (each, an “Add-On”).

Add-On Terms. Each Add-On is governed by these Terms and, as applicable, the Order Form, checkout page, product description, statement of work, or other terms presented to Customer at the time of purchase (collectively, “Add-On Terms”). Add-On Terms may identify the scope, deliverables, fees, payment timing, usage period, scheduling rules, cancellation terms, dependencies, and any additional limitations applicable to that Add-On.

Order of Precedence. If there is a conflict between these Terms and Add-On Terms, the Add-On Terms control solely with respect to that Add-On, unless the Add-On Terms expressly state otherwise.

No Implied Entitlement. Purchase of an Add-On does not modify Customer’s subscription plan, create a recurring commitment, or entitle Customer to future Add-Ons unless the applicable Add-On Terms expressly provide otherwise.

Availability. Add-Ons may be changed, limited, or discontinued for future purchase at Opportuna’s discretion. Opportuna will honor the scope of an Add-On already purchased, subject to these Terms and the applicable Add-On Terms.

Additional Working Sessions. Customer may purchase additional Working Sessions as an Add-On, subject to availability and the applicable Add-On Terms. Customer may purchase no more than two (2) additional Working Sessions during a monthly billing period. Each purchased additional Working Session expires sixty (60) days after purchase if not scheduled and completed, does not roll over, and is nonrefundable except as required by applicable law or expressly stated in the applicable Add-On Terms.

The limit on additional Working Sessions applies per Customer organization.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPPORTUNA AND ITS OWNERS, OFFICERS, EMPLOYEES, CONTRACTORS, AFFILIATES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO WEBSITE USE, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR COST OF SUBSTITUTE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPPORTUNA’S TOTAL LIABILITY ARISING FROM OR RELATED TO WEBSITE USE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

Indemnity

You will defend, indemnify, and hold harmless Opportuna and its owners, officers, employees, contractors, affiliates, and licensors from claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising from your unlawful use of the website or violation of these Terms.

Governing Law and Venue

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. The state courts located in Seminole County, Florida, and the United States District Court for the Middle District of Florida, Orlando Division, will have exclusive jurisdiction over any dispute arising from or relating to these Terms or the website. You consent to personal jurisdiction and venue in those courts.

We may modify these Terms at any time by posting an updated version with a revised effective date. Your continued use of the website after revised Terms are posted means that you accept the revised Terms to the extent permitted by law.
